These Terms of Service (“Terms”) govern your access to and use of the AgentQure platform, including all web applications, mobile applications, and related services (collectively, the “Platform”) provided by Quamar Brothers Healthcare Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at The Vue, SN 19/1/2/ 3/5/6 12/4 Kondhwa, Pune, Maharashtra, 411048, India, (“AgentQure,” “we,” “us,” or “our”).

By accessing, registering for, or using the Platform, you (“User,” “you,” or “your”) agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Platform.

FOR HEALTHCARE PROFESSIONALS: By using this Platform, you represent that you are a licensed healthcare professional authorized to practice in your jurisdiction and that you will comply with all applicable medical practice standards and regulations.

 

2. Description of Services

AgentQure provides AI-powered healthcare technology solutions including:

  • Laboratory Information Management System (LIMS) for pathology labs
  • Electronic Medical Records (EMR) system for healthcare providers
  • Patient engagement mobile applications
  • Healthcare analytics and reporting tools
  • Integration services with medical devices and third-party systems

IMPORTANT DISCLAIMER: AgentQure provides technology platforms and tools only. We do not provide medical advice, diagnoses, treatments, or healthcare services. All medical decisions and patient care remain the sole responsibility of licensed healthcare professionals.

 

3. User Registration and Accounts

3.1 Registration Requirements

To access certain features of the Platform, you must register and create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your account information
  • Keep your login credentials secure and confidential
  • Be responsible for all activities under your account
  • Notify us immediately of any unauthorized use

You agree not to:

  • Attempt to gain unauthorized access to any systems or data
  • Share login credentials with unauthorized persons
  • Upload malicious code, viruses, or harmful content
  • Violate any applicable healthcare regulations or professional standards
  • Use the Platform to provide unlicensed medical services
  • Misrepresent your credentials or qualifications

4.3 Data Integrity

Users are solely responsible for the accuracy, completeness, and legitimacy of all data entered into the Platform. AgentQure assumes no responsibility for data accuracy or clinical decisions based on Platform data.

 

5. Healthcare Data and Compliance

5.1 Healthcare Data Handling

The Platform processes sensitive healthcare information. By using the Platform, you acknowledge that:

  • You have appropriate authority to access and process such data
  • You will comply with all applicable data protection laws
  • You are responsible for obtaining necessary patient consents
  • You will maintain appropriate security measures for data access

5.2 Regulatory Compliance

Users must ensure compliance with applicable healthcare regulations including:

  • Information Technology Act, 2000 and rules thereunder
  • Digital Personal Data Protection Act, 2023
  • Medical Council of India regulations
  • State and local healthcare regulations
  • International regulations where applicable (HIPAA, GDPR, etc.)

5.3 Professional Responsibilities

Healthcare professionals using the Platform must:

  • Maintain professional licensing and credentials
  • Follow applicable medical practice standards
  • Ensure appropriate clinical oversight of all healthcare activities
  • Maintain patient confidentiality per professional standards

 

6. Intellectual Property Rights

6.1 AgentQure IP

The Platform, including all software, content, trademarks, and intellectual property, is owned by AgentQure or its licensors. You receive only a limited license to use the Platform as described herein.

6.2 User Data

You retain ownership of data you upload to the Platform, subject to the rights you grant us under these Terms and our Privacy Policy. You grant us a license to use such data to provide Platform services and improve our offerings.

6.3 Feedback

Any feedback, suggestions, or improvements you provide may be used by AgentQure without compensation or acknowledgment.

 

7. Service Availability and Modifications

7.1 Service Evolution

AgentQure is a growing platform with evolving features. We may:

  • Add, modify, or discontinue features or services
  • Update the Platform interface and functionality
  • Change pricing or service plans
  • Introduce new products or services

7.2 Service Availability

While we strive for high availability, we do not guarantee uninterrupted service. The Platform may experience downtime for maintenance, updates, or technical issues.

8. Payment Terms

10. Warranties and Disclaimers

10.2 Healthcare Disclaimer

AGENTQURE IS NOT A HEALTHCARE PROVIDER AND DOES NOT PROVIDE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. THE PLATFORM IS A TECHNOLOGY TOOL ONLY. ALL HEALTHCARE DECISIONS REMAIN THE RESPONSIBILITY OF QUALIFIED HEALTHCARE PROFESSIONALS.

10.3 Data Accuracy

WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY DATA ON THE PLATFORM. USERS ARE SOLELY RESPONSIBLE FOR VERIFYING DATA ACCURACY BEFORE MAKING CLINICAL DECISIONS.

 

11. Limitation of Liability

11.1 Liability Limits

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTQURE’S TOTAL LIABILITY FOR ANY CLAIMS RELATED TO THE PLATFORM SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE PLATFORM SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11.2 Excluded Damages

IN NO EVENT SHALL AGENTQURE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.

11.3 Healthcare Limitations

AGENTQURE SHALL NOT BE LIABLE FOR ANY HEALTHCARE OUTCOMES, MEDICAL DECISIONS, OR CLINICAL CONSEQUENCES ARISING FROM PLATFORM USE. ALL SUCH RESPONSIBILITY REMAINS WITH HEALTHCARE PROFESSIONALS AND INSTITUTIONS.

 

12. Indemnification

You agree to defend, indemnify, and hold harmless AgentQure and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of applicable laws or regulations
  • Any healthcare services you provide using the Platform
  • Any data you upload or process through the Platform

 

13. Termination

13.1 Termination by You

You may terminate your account at any time by following the account closure process or contacting support.

13.2 Termination by Us

We may terminate or suspend your access immediately for violations of these Terms, illegal activity, or other just cause.

13.3 Effect of Termination

Upon termination, your right to use the Platform ceases. We will handle your data according to our Privacy Policy and applicable law.

 

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles.

14.2 Jurisdiction

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Pune, India.

14.3 Arbitration

For disputes involving amounts over INR 5,00,000, parties agree to binding arbitration under the Arbitration and Conciliation Act, 2015.

 

15. General Provisions

15.1 Updates to Terms

We may update these Terms from time to time. Continued use of the Platform after changes constitutes acceptance of updated Terms.

15.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.

15.3 Assignment

You may not assign these Terms without our written consent. We may assign our rights and obligations under these Terms.

15.4 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AgentQure regarding the Platform.

THE PLATFORM IS NOT INTENDED FOR MEDICAL EMERGENCIES. IN CASE OF MEDICAL EMERGENCY, CONTACT APPROPRIATE EMERGENCY SERVICES IMMEDIATELY.

16.2 Professional Judgment

Healthcare professionals must exercise independent professional judgment and not rely solely on Platform information for clinical decisions.

16.3 Regulatory Changes

If healthcare regulations change in ways that affect Platform operations, we may need to modify services or these Terms accordingly.
